Re: Engagement for Intellectual Property Registration Services

This engagement letter confirms the terms on which Suits Legal Group (the "Firm") accepts a limited legal mandate from the Client.

Scope of Legal Mandate

The Firm's mandate is strictly and exclusively limited to: (1) preparation of intellectual property application materials based solely on information provided by the Client; (2) filing of such applications with the relevant intellectual property office(s); and (3) procedural and administrative coordination strictly related to the filing and registration process.

No services are provided beyond the above. This Mandate does not include any advisory, strategic, clearance, enforcement, monitoring, opposition, renewal, post-registration, commercialization, or dispute-related services, whether express or implied. The Firm does not provide legal opinions on registrability, validity, infringement, freedom to operate, or enforcement unless expressly agreed in a separate written engagement.

Reliance on Client Information

The Firm acts solely in reliance on information, documents, and instructions supplied by the Client. The Firm has no obligation to independently verify the accuracy, completeness, or legal sufficiency of any information provided, unless expressly agreed in writing. The Client bears full responsibility for the content, accuracy, and completeness of all submitted materials and for ensuring that instructions are timely and correct.

No Guarantee of Outcome

The Client acknowledges that intellectual property registration decisions are made exclusively by the relevant intellectual property office(s). Accordingly, the Firm makes no representation, warranty, or guarantee regarding acceptance, registration, scope of protection, timing, or outcome of any application. No result is assured or warranted.

Confidentiality

All non-public information exchanged in connection with this Mandate shall be treated as confidential and used solely for purposes of carrying out the Mandate. Confidential Information may be disclosed where required for filing or prosecution, required by law, or where it becomes public other than through breach of this Engagement Letter. These obligations survive termination for five (5) years.

Limitation of Liability

To the fullest extent permitted by applicable law: the Firm's liability is limited to losses arising directly from willful misconduct or gross negligence within the scope of the Mandate; the Firm shall not be liable for indirect, consequential, or economic losses; no liability shall arise from reliance on inaccurate or incomplete Client-provided information. The Firm's aggregate liability shall not exceed the fees actually paid for the specific services giving rise to the claim.

Fees and Expenses

Professional fees, official filing fees, and reimbursable expenses shall be communicated separately. Work beyond preliminary review shall commence only upon written confirmation of fees and acceptance of this Engagement Letter. All fees are exclusive of applicable taxes unless stated otherwise.

Term and Termination

Either party may terminate this engagement by written notice. Termination does not affect accrued fees or the continuing applicability of confidentiality and liability provisions.

Governing Law and Jurisdiction

This Engagement Letter shall be governed by and construed in accordance with the laws of Italy, and the courts of Naples shall have exclusive jurisdiction.
